Commercial Contracts Manager – Position Overview

Reporting to the Corporate Counsel, this role is primarily responsible for using business and legal judgement to draft and negotiate a variety of commercial contracts and technology/software licensing arrangements.  This role will also draft, negotiate and close a variety of consulting, confidentiality, information security, lease and vendor contract SOWs, and will provide legal support to the Company’s various internal stakeholders, as well as assist as needed with RFP/RFI requirements.

The successful candidate will have frequent interactions with internal stakeholders across multiple business units and functional groups and will be responsible for ensuring compliance with all internal contracting processes and applicable laws/regulations.

Opportunity Highlights:

Drafting and negotiating a broad range of commercial contracts including, but not limited to, contracts for internal stakeholders in sales/business development, procurement, facilities, marketing, software/content development, human resources, information technology, cloud operations and finance.

Facilitating the resolution of business and legal issues and formulating recommendations using analysis, creativity and the development of new approaches to enable contract execution while safeguarding the Company and helping it assess and manage risk.

Advising sales and business teams on agreement structure, risks, and alternatives.

Participate in and contribute to the development and on-going review of relevant processes, guidelines and procedures relating to the Company’s contracting activities generally.


Required Skills & Qualifications:

Bachelor’s degree required.

JD degree; or paralegal certification preferred.

5+ years of related experience

3+ years of experience with contract drafting and negotiation with vendor/third party interaction.

Experience working on complex commercial transactions and/or in-house experience negotiating commercial contracts for a global corporation (preference for technology).

Ability to effectively negotiate and resolve complex issues, finding (and articulating) solutions that appropriately contextualize the business issue that needs to addressed.

Strong business acumen and ability to identify and mitigate risk.

Ability to work on multiple projects at the same time under tight deadlines.

Attention to detail is critical.

Excellent interpersonal and communication skills which have led to collaborative and productive working relationships.

A solid team player.

Superior information gathering, analytical and decision-making and organizational capabilities.

Ability to work independently, possess strong written and verbal communication skills and be capable of building rapport among stakeholders.

A solid understanding of legal terms and contract formulation principles is required. Must have the ability to comprehend legal terms, including intellectual property, privacy, information security, indemnity, termination, warranties, and other remedy provisions.

Demonstrated experience prioritizing conflicting demands from multiple business clients in an extremely fast-paced environment.

Highly focused on details and the desired negotiation outcome. This includes being able to understand business objectives and use problem solving skills to overcome obstacles to achieving such objectives, while also knowing when to escalate issues.

Must have highly refined computer skills, including proficiency in Microsoft Office and the ability to work in various databases.

Understanding of procurement processes and systems desirable.
