Position Overview

Skillsoft is seeking a talented Contract Negotiator to join our Contracts team.

The Contract Negotiator will have complete involvement in all aspects of the contract negotiation process.  It is expected that the Contract Negotiator will develop and build effective working relationships and work closely with Sales, Finance, external customers, and suppliers.

Day-to-day responsibilities include reviewing, drafting, and negotiating legal terms in software license agreements, services agreements, vendor agreements, confidentiality agreements, assignments, and RFP responses. The Contract Negotiator will also solve problems as needed and respond to questions concerning contract structure, interpretation of contract terms, compliance, and policies.

Position Responsibilities

Review and negotiate software licenses, professional service agreements, and related contracts with customers using company and third party paper.  Review legal terms and conditions in connection with responding to customer RFPs.  Additional contract negotiation opportunities with content providers and other entities may arise.

Conduct conference call negotiations with sales team and third parties.

Serve as a liaison between sales team, internal subject matter experts, and contract administration to ensure compliance with revenue recognition rules and other company policies.

Other duties as assigned.

Desired Skills and Experience

Bachelor’s Degree required.  While a J.D. is not required, attorneys are encouraged to apply, as are non-attorneys with appropriate contract negotiation experience.

Experience with sales teams and/or software industry a plus.

Demonstrated experience in working directly with third parties in both cooperative and potentially adversarial scenarios. The applicant must have strong written and verbal communication skills, and be able to write in a clear and concise manner.

A solid understanding of legal terms and contract formulation principles is required. Must have the ability to comprehend legal terms, including intellectual property, indemnity, termination, warranties, and other remedy provisions.

Must be able to thrive in a fast-paced team environment, and have solid time management skills.

Highly focused on details and the desired negotiation outcome. This includes being able to understand business objectives and use problem solving skills to overcome obstacles to achieving such objectives, while also knowing when to escalate issues.

Must have highly refined computer skills, including proficiency in Word and the ability to work in various databases. Experience using Salesforce, Apttus, and/or Peoplesoft a plus.
