Job Summary:

This is a generalist role involving a wide range of general corporate counseling, including organizational, intellectual property, litigation, employment, privacy and regulatory matters.  There will be a heavy emphasis on reviewing, drafting and negotiating commercial agreements involving technology transactions.

Essential Responsibilities & Duties:

  • Drafting, reviewing and negotiating documents for outbound technology transactions including end user licenses, channel partner/reseller agreements, cloud-based software licenses, enterprise software and support agreements, reseller agreements, and non-disclosure.
  • Reviewing and negotiating vendor agreements.
  • Advise internal business clients on compliance with company legal policies and procedures, including HIPAA, HITECH and other privacy and regulatory matters.
  • Manage outside counsel on periodic litigation and employment matters.
  • Assisting in formulation and deployment of process-related improvements related to the provision of legal services.
  • Review/proof documents generally.

 

Skills/Requirements

Qualifications:

  • Education: The candidate must possess a J.D. from an accredited law school and be a member in good standing of the Florida bar or eligible for Florida bar membership or Florida Authorized House Counsel status.
  • Experience: 2 – 6 years of relevant experience in drafting and negotiating commercial contracts, some in-house experience preferred.
  • Familiarity with HIPAA, HITECH and FDA regulatory regimes a plus.

Skills/Knowledge:

  • Deal/negotiation experience is essential.
  • Strong knowledge of commercial contracts and business law.
  • Excellent oral and written communication skills.
  • Outstanding organizational, analytical and drafting skills, with attention to detail.
  • History of multi-tasking efficiently and ability to prioritize workflow and adjust to workload fluctuations in a fast paced.
  • Ability to work independently, as well as in team situations.
  • Comfortable and confident in dealing directly with all levels of management.
